1. Agreement to Terms

By accessing or using KlarBill ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and KlarBill. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

KlarBill is an AI-powered invoice processing platform designed to assist businesses with accounting automation. The Service provides:

  • Automated invoice data extraction using Google Cloud Document AI.
  • Invoice validation, categorization, and error flagging.
  • Export functionality to third-party accounting software (e.g., QuickBooks, Xero) and CSV formats.
  • Secure cloud storage for invoice documents.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

3.1 Account Registration

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

3.2 Account Security

You are solely responsible for safeguarding your account credentials. You agree to notify us immediately at inquiries@klarbill.com if you suspect any unauthorized use of your account. KlarBill cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

3.3 Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Subscription, Billing, and Refunds

4.1 Subscription

KlarBill operates on a subscription basis.

4.2 Billing and Payment

Payments are processed securely via our Merchant of Record, Paddle. By subscribing, you agree to Paddle's Terms of Use. Subscription fees are billed in advance on a monthly basis. Your subscription will automatically renew at the end of each billing cycle unless cancelled.

4.3 Cancellation

You may cancel your subscription at any time via your account dashboard. Cancellation will take effect at the end of the current paid term. You will retain access to the Service until that date.

4.4 Refund Policy

KlarBill complies with Paddle's refund policy requirements. Refunds are available within a 14-day window from the date of purchase. To request a refund, please contact us at inquiries@klarbill.com.

Refunds are not subject to qualifiers or exceptions. All refund requests will be processed in accordance with Paddle's guidelines.

5. Acceptable Use Policy

You agree NOT to use the Service to:

  • Process documents that are not legitimate business invoices or receipts.
  • Upload content that contains software viruses or malicious code.
  • Attempt to probe, scan, or test the vulnerability of our systems.
  • Engage in "scraping" or automated data collection outside the intended API usage.
  • Process fraudulent, illegal, or sexually explicit content.

6. Data Ownership and Privacy

6.1 Your Data

You retain full ownership of all invoice data you upload. We do not claim any intellectual property rights over your data.

6.2 License to Process

By using the Service, you grant KlarBill a worldwide, royalty-free license to use, host, store, and reproduce your data solely for the purpose of providing the Service to you (e.g., passing data to Google Cloud Document AI for extraction).

6.3 Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, protect, and use your personal information.

7. Third-Party Services

The Service utilizes third-party providers including Google Cloud (for AI and Storage) and Paddle (for Payments). By using KlarBill, you acknowledge that your data may be processed by these sub-processors. We are not responsible for the availability or accuracy of these third-party services.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Service

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. KlarBill makes no representations or warranties of any kind, express or implied, regarding the accuracy of the AI extraction. You are responsible for verifying all data extracted by the Service before using it for accounting or tax purposes.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, KlarBill shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. In no event shall our aggregate liability for all claims relate to the Service exceed the greater of one hundred US dollars ($100) or the amount you paid us in the last 12 months.

9. Indemnification

You agree to indemnify and hold harmless KlarBill and its owner against any claims, damages, liabilities, and expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of this Agreement shall be subject to the exclusive jurisdiction of the courts located in Kitwe, Copperbelt Province, Zambia.

KlarBill is a service provided by MINELVA, the parent company. All references to "KlarBill" in these Terms of Service refer to the service offered by MINELVA.

By using KlarBill, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
